The Agreement to follow is part of a Special Marketing Program for the "Divine Quick-Fix Healings" book. The Agreement is not intended to be a permanent arrangement between OHi and the Free Lance Distributors. The agreement is for promotional purposes only and is not intended for commercial book distributors, booksellers, libraries, or Internet catalogues sales.

Instructions: Carefully read the basic Agreement below and ascertain that you understand and agree with the terms. Then Print out a copy, fill-in the information requested (if using a credit card, please complete and sign the required information), sign the Agreement, and send to Oughten House at PO Box 535, Port Washington, NY 11050 USA.

Agreement

This Non-Exclusive Agreement is between Oughten House Foundation, Inc., a non-profit, tax exempt corporation under the Internal Revenue Service code 501 (c) (3), with offices at Box 535, Port Washington, New York, USA 11050 (herein after known as the "OHi") and the Free Lance Distributor.

(herein after known as the "FLD" and whose address appears below).

Whereas,

1. FLDs are "Independent Subcontractors" and are non-employees of OHi.
2. Individuals over 18 years of age can become FLD. However, children can register as a FLD providing the parent or guardian signs the agreement and commits to oversee and act accountable for the minor's behavior and performance.
3. The FLD agrees not to market or sell books to commercial book distributors, booksellers, bookstores, libraries, or Internet catalogues sales.
4. OHi will supply FLD books, marketing flyers, sales ideas and leads as available.
5. Unit cost for books equates to 50% off retail price at $6.98 each. FLD earns $6.97 per unit.
6. No other discount or volume discount will be negotiated by OHi. The FLD has the privilege to sell the book at any price not exceeding the then current retail price.
7. Minimum order is two (2) books. Thereafter, FLDs may purchase any amount of books that they deem feasible.
8. All purchases must be Pre-Paid, non-refundable, and non-returnable.
9. Purchases can be paid by check, money order, PayPal, or credit card. Credit card purchases require that a Signature File be maintained by OHi as imprinted on the reverse side of this agreement.
10. FLDs pay Shipping & Handling (S&H) via US Postal Service Media/Printed Matter Rates as follows:

• 2 book minimum $2.50
• 5 books $3.00
• 10 books $4.00
• 15 books $5.00
• 20 books $6.00
• Over 20 books, FREE S&H
• Canadian orders will be surcharge $2.00

1. Marketing Flyers are available for purchase at a cost of 3 cents each.
2. All marketing and sales media must reflect the integrity and character of OHi and all copyright and trademarks shall be honored.
3. Oughten House is not liable for collecting any sales tax from the FLD. Free Lance Distributors should abide by their State sales tax regulations. FLDs should provide OHi their "Re-Seller's Permit" should substantial purchases be made from OHi.
4. This Agreement shall be automatically renewed every 90 (ninety) days unless terminated. Termination, without cause, can be made by either party and a written notice given within 15 days. This agreement can only be modified in writing and acceptance by both parities.
5. The FLD warrants and indemnifies OHi of all encumbrances, judgments, liabilities, litigation's, which the FLD has been or involved in or may be subject to in the future.
6. This agreement shall be construed and enforced according to the laws of the State of New York.
